Section 1 Agreement to Terms

By accessing the website rhemaresearchlabs.com, creating a registered account, or placing an order, you ("Purchaser," "you," or "your") agree to be fully bound by these Terms and Conditions ("Terms") in their entirety. These Terms constitute a legally binding agreement between you and Rhema Research Labs LLC, an Arizona limited liability company ("Rhema Research Labs," "we," "us," or "our"), with its principal place of business at 25634 N 124th LN, Peoria, AZ 85383.

If you do not agree to all of these Terms, you must immediately exit this site and may not create an account or place an order. Your continued use of this site, creation of an account, or placement of an order constitutes your acceptance of these Terms as they exist at the time of that action.

Section 3 Research Use Only — Product Purpose and Restrictions

All products sold by Rhema Research Labs LLC are offered strictly For Research Use Only — Not for Human or Animal Consumption. This designation is not a disclaimer of convenience. It reflects the actual and only lawful purpose for which these products are sold.

Specifically:

• Products are not drugs, dietary supplements, food products, or veterinary products, and are not classified as such under applicable law.
• Products are not intended for, and must not be used for, human or animal ingestion, injection, inhalation, topical application, or any other form of administration.
• Products are not intended for, and must not be used for, the diagnosis, cure, mitigation, treatment, or prevention of any disease or medical condition in humans or animals.
• Products are not approved by the U.S. Food and Drug Administration (FDA) for any human or animal use.
• Products are not dietary supplements and are not regulated as such under the Dietary Supplement Health and Education Act (DSHEA).
• Products are intended solely for in-vitro laboratory research by qualified professionals in controlled research environments.

Any sale, marketing, distribution, or representation of these products for human or animal use, whether direct or implied, constitutes a material breach of these Terms and may expose the Purchaser to civil and criminal liability under applicable federal and state law.

Section 4 Qualified Purchaser Requirement

Access to this site and the ability to place orders is restricted to qualified research professionals only. By creating an account and placing an order, Purchaser represents, warrants, and affirms that:

• Purchaser is 21 years of age or older.
• Purchaser is a qualified research professional with the training, credentials, and institutional authority to purchase, handle, store, use, and dispose of research-grade chemical materials in accordance with all applicable laws and regulations.
• Purchaser is acting on behalf of a legitimate business, academic institution, contract research organization, government laboratory, or private research organization.
• Purchaser's intended use for all products is solely lawful in-vitro laboratory research.
• Purchaser is not purchasing on behalf of, or with the intent to resell to, consumers, patients, or any person for human or animal use.
• Purchaser is not a pharmacy, compounding pharmacy, med spa, weight-loss clinic, TRT clinic, gym, or other entity that would administer or dispense these products to human patients or consumers.
• All information provided during account registration is true, complete, accurate, and not misleading.

Rhema Research Labs reserves the right to refuse, cancel, hold, or review any account or order where Purchaser qualification, intended end use, shipping destination, or compliance cannot be verified to our reasonable satisfaction.

Section 5 Mandatory Account Registration and Qualification Process

No guest checkout, express checkout, accelerated wallet, or one-click purchase method that bypasses account login and qualification is permitted. Before any order may be placed, each Purchaser must:

• Create a registered account on rhemaresearchlabs.com and log in.
• Provide legal name, business or organization name, and business entity type.
• Select a researcher or buyer category from the provided options.
• Complete the required Field of Qualified Research selector.
• Confirm age 21 or older.
• Electronically sign and agree to these Terms and Conditions in full.
• Expressly attest that all products are purchased For Research Use Only and Not for Human or Animal Consumption.
• Receive account approval from Rhema Research Labs before placing any order.

Rhema Research Labs retains timestamped records of each account's electronic attestation, including date, time, and IP address at the time of signature. These records are maintained for a minimum of five years and may be disclosed to Stripe, card networks, regulatory authorities, or law enforcement where required or permitted by applicable law.

Section 6 Electronic Signature and Attestation

By completing the account registration process and checking the attestation and signature fields, Purchaser is providing an electronic signature that is legally binding to the same extent as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and applicable state law. Purchaser acknowledges that this electronic signature constitutes a binding legal agreement and may not be repudiated on the basis that it was provided electronically.

Section 7 Compliance with Applicable Law

Purchaser is solely and exclusively responsible for determining and ensuring compliance with all applicable federal, state, and local laws and regulations governing the purchase, possession, handling, storage, use, transport, and disposal of research-grade chemical materials, including without limitation:

• U.S. Food, Drug, and Cosmetic Act (FDCA) and FDA regulations, including 21 U.S.C. § 331 et seq.
• Controlled Substances Act (CSA) and DEA regulations, where applicable.
• FTC Act and applicable consumer protection regulations.
• All applicable state chemical control and research material regulations in Purchaser's jurisdiction.
• All applicable occupational safety and hazardous materials regulations.

Rhema Research Labs makes no representation that any product is lawful for purchase, possession, or use in any particular jurisdiction. It is the Purchaser's sole responsibility to verify legality in their jurisdiction before placing an order.

Section 8 Prohibited Uses

Purchaser expressly agrees not to:

• Administer, ingest, inject, inhale, or apply any product to any human or animal.
• Compound, reformulate, or repackage any product for patient use, clinical use, or therapeutic application.
• Resell any product to consumers, patients, or any person for human or animal use.
• Market, advertise, or represent any product as safe or effective for human or animal use.
• Use any product in violation of any applicable federal, state, or local law or regulation.
• Submit false or misleading information during account registration or order placement.
• Use a third party's account credentials to place orders.
• Circumvent, disable, or attempt to bypass the account registration and qualification gate through any means.

Any breach of this Section constitutes a material breach of these Terms and grounds for immediate account termination, cancellation of pending orders, and reporting to applicable regulatory authorities.

Section 9 Labeling and Intended Use Acknowledgment

All Rhema Research Labs products are conspicuously labeled "For Research Use Only — Not for Human Consumption" or substantially equivalent language. By placing an order, Purchaser acknowledges that this labeling reflects the actual and only lawful purpose for which products are sold, and that this labeling is consistent with Purchaser's intended use. Purchaser agrees not to remove, obscure, alter, or replace any label or disclaimer on any product.

Section 10 Indemnification

Purchaser agrees to defend, indemnify, and hold harmless Rhema Research Labs LLC, and its owners, officers, employees, agents, successors, and assigns from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees at all stages, arising out of or related to: Purchaser's purchase, receipt, storage, handling, use, misuse, resale, distribution, or disposal of any product; Purchaser's breach of any representation, warranty, covenant, or obligation under these Terms; Purchaser's violation of any applicable law, regulation, or regulatory requirement; any claim by any third party, regulator, card network, or law enforcement authority arising from Purchaser's acts or omissions in connection with any product; any inaccuracy or misrepresentation in information provided during account registration or order placement; and any personal injury, illness, property damage, or other harm arising from Purchaser's use or misuse of any product. This indemnification obligation survives termination or expiration of these Terms.

Section 11 Assumption of Risk

Purchaser knowingly and voluntarily acknowledges that research-grade chemical materials carry inherent risks associated with their handling, storage, and use in laboratory environments. Purchaser represents that it has the training, expertise, and institutional protocols necessary to safely handle these materials. Purchaser assumes all risks associated with the purchase, possession, handling, storage, use, transport, and disposal of all products purchased from Rhema Research Labs LLC.

Section 12 Disclaimer of Warranties

ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. RHEMA RESEARCH LABS DOES NOT WARRANT THAT PRODUCTS WILL MEET PURCHASER'S SPECIFIC RESEARCH REQUIREMENTS OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED. Certificates of Analysis reflect the results of testing performed on specific lots and do not constitute a warranty of fitness for any particular research application or a representation of suitability for human or veterinary use.

Section 13 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RHEMA RESEARCH LABS LLC OR ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO PURCHASER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF RHEMA RESEARCH LABS LLC EXCEED THE TOTAL AMOUNT PAID BY PURCHASER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT.

Section 14 Shipping Policy

Orders ship to verified addresses associated with legitimate research institutions or qualified research operations only. Rhema Research Labs reserves the right to delay, refuse, cancel, or hold any shipment where the shipping address appears associated with pharmacies, compounding pharmacies, med spas, weight-loss clinics, TRT clinics, gyms, dormitories, or other destinations inconsistent with qualified laboratory research use. We ship to the contiguous 48 United States only. Free shipping applies to orders of $250 or more.

Section 15 Refund and Return Policy

Due to the sensitive nature of research-grade materials, products may not be returned once shipped, except where Rhema Research Labs determines a documented shipping error, damage in transit, or fulfillment mistake occurred. Any delivery issue must be reported in writing to support@rhemaresearchlabs.com within seven (7) calendar days of confirmed delivery. Chargebacks initiated without first contacting Rhema Research Labs for resolution may be disputed with supporting order records, delivery confirmation, and attestation documentation.

Section 16 Payment and Billing

All prices are listed in United States Dollars (USD). Purchaser authorizes Rhema Research Labs to charge the payment method provided at checkout for the total amount of each order including applicable taxes and shipping. Submitting false billing information, initiating unauthorized chargebacks, or engaging in payment fraud constitutes a material breach of these Terms.

Your card statement will show RHEMA RESEARCH LABS for purchases made on this site. Contact us at support@rhemaresearchlabs.com before disputing any charge you do not recognize. Complaints or concerns about this site or its content may be reported to the same address or to (888) 871-7377; we acknowledge complaints within two business days and resolve them within seven business days.

Section 17 Intellectual Property

All content on this website, including text, product descriptions, images, logos, COA formats, and design elements, is the property of Rhema Research Labs LLC or its licensors and is protected by applicable intellectual property law. No content may be reproduced, distributed, or modified without prior written consent.

Section 18 Privacy

Rhema Research Labs LLC collects and processes account, contact, billing, shipping, qualification, and transaction information for account approval, fraud prevention, payment processing, order fulfillment, legal compliance, and customer support. Information submitted during account creation including electronic signature and attestation may be disclosed to payment processors, card networks, regulatory authorities, or law enforcement where required or permitted by applicable law. Section 19 Modifications to Terms

Rhema Research Labs reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised effective date. Continued use of the site after the effective date constitutes acceptance of the revised Terms.

Section 20 Termination

Rhema Research Labs reserves the right to suspend or terminate any account, cancel any pending order, and refuse future orders at any time where we reasonably believe a Purchaser has violated these Terms, provided false information, or represents a compliance, legal, or reputational risk.

Section 21 Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Arizona. Any dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, with the seat of arbitration in Maricopa County, Arizona. Purchaser waives any right to participate in any class action or representative proceeding. All disputes shall be brought and resolved solely on an individual basis.

Section 22 Entire Agreement

These Terms constitute the entire agreement between Purchaser and Rhema Research Labs with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings. No modification shall be binding unless made in writing and signed by an authorized representative of Rhema Research Labs LLC.

Section 23 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
